TERMS OF SERVICE (CONDITIONS GÉNÉRALES D'UTILISATION)

1. Introduction and Acceptance of Terms

Welcome to Boonia Main. These Terms of Service (the "Terms") constitute a legally binding agreement between you ("the User," "you," "your") and Boonia Main ("Company," "we," "us," "our") regarding your use of our mobile application and on-demand services in the Gabonese Republic.

By creating an account, requesting a ride, placing an order for goods, or browsing the Boonia Main application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must cease using the application immediately.

These Terms are governed by the laws of the Gabonese Republic and the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) Uniform Act on general commercial law.

2. The Services & Our Role as Intermediary

Boonia Main provides a digital marketplace platform that connects Users with two primary types of independent, third-party service providers:

  • Transportation Services: Connecting passengers with independent third-party drivers ("Transport Partners") for on-demand taxi and ride-hailing services.
  • E-Commerce Services: Connecting Users with local merchants, restaurants, and shops ("Commerce Partners") for the ordering and delivery of goods, food, and other products.

Critical Acknowledgement regarding Independent Contractors:

We act solely as an intermediary. The actual services (transportation or delivery of goods) are provided by independent third-party contractors (Transport Partners and Commerce Partners), not by Boonia Main.

Therefore, Boonia Main is not an employer or a transportation carrier. We do not employ Transport Partners and exercise no control over their actions. Our role is limited to facilitating the connection via the app.

This distinction is essential under Gabonese labor law: drivers and delivery persons are independent contractors, and their relationship with you (the user) is direct, with Boonia acting as the technological platform enabling that connection. They are not parties to an employment contract (Contrat à Durée Déterminée or Indéterminée) with Boonia Main.

3. User Eligibility and Account Registration

To use Boonia Main, you warrant that:

  • You are at least 18 years of age, or the age of majority in Gabon, to enter into a binding contract.
  • You are accessing the service from within Gabonese territory.
  • You possess a valid mobile phone number and, if required, a valid means of payment.

Account Creation: You must provide accurate, current, and complete information. You are responsible for all activities that occur under your account and must safeguard your password. You agree to notify us immediately of any unauthorized use.

4. User Conduct and Prohibitions

As a user of the Boonia Main community in Gabon, you agree to:

  • Treat Transport Partners, Commerce Partners, and other users with respect and dignity.
  • Not engage in illegal, threatening, or fraudulent behavior.
  • Not damage the vehicle or property of a Partner.
  • Not use the app for any illegal transportation of goods or persons (e.g., smuggling, trafficking).
  • Not use the app to transmit any viruses or malicious code.

Violation of these rules may result in the immediate suspension of your account and reporting to the relevant authorities in Libreville or other jurisdictions.

5. Specific Terms for Transportation (Taxi/Ride-Hailing)

  • Rider Responsibility: You agree to be ready for pickup at the designated location. "No-shows" or excessive waiting time may incur a cancellation fee as displayed in the app.
  • Safety: You agree to wear seatbelts if available. You agree not to request a driver to break traffic laws (e.g., speeding, illegal u-turns).
  • Vehicle Condition & Road Conditions: Boonia Main requires Transport Partners to maintain their vehicles. However, we do not control road conditions in Gabon (e.g., potholes, flooding, unauthorized roadblocks). You acknowledge that minor route deviations or delays may occur due to these real-world conditions, and drivers are not penalized by Boonia for making reasonable adjustments to navigate them safely.

6. Specific Terms for E-Commerce (Delivery of Goods)

  • Merchant Relationship: When you order food or goods, you are purchasing directly from the Commerce Partner. Boonia Main facilitates the transaction and delivery.
  • Product Availability: Commerce Partners update their inventory. If an item is unavailable, the Partner may substitute it (if you have agreed to substitutions) or cancel the item. You will only be charged for fulfilled items.
  • Delivery Estimates and "Le Wifi" (Connectivity): Delivery times and driver location estimates are provided in good faith based on GPS data but are not guaranteed. You acknowledge that factors specific to Gabon may cause delays or tracking inaccuracies.

These include, but are not limited to:

  • Traffic congestion in Libreville, Port-Gentil, or Franceville.
  • Heavy rain or adverse weather affecting road safety.
  • Police or military checkpoints.
  • Network connectivity issues: Interruptions in service from mobile network operators (e.g., Airtel Gabon, Moov Africa Gabon) may result in failed transactions, inability to track your driver, or delayed order confirmations. Boonia Main is not responsible for failed transactions or service interruptions due to the outages of third-party network providers.
  • Receiving Goods & Cash Payments: You (or a designated representative) must be present at the delivery location.
  • Regarding Cash on Delivery: If you choose to pay in cash (XAF), please be aware that delivery personnel may have limited ability to provide change for large bills. We encourage users to carry smaller denominations to facilitate smooth transactions. If delivery is attempted and no one is present, the order may be canceled, and a restocking/delivery fee may apply.

7. Payments, Fees, and Pricing

  • Fares and Prices: You agree to pay the charges for your ride and/or purchases, including any applicable taxes (such as VAT/TVA in Gabon), tolls, and parking fees.
  • Dynamic Pricing: For transport services, prices may fluctuate based on demand (surge pricing) or time of day. You will always see the total estimated fare or delivery fee before confirming your ride or order.
  • Payment Methods: We accept the following methods of payment to cater to Gabonese users:
  • Mobile Money: Airtel Money and Moov Money (primary methods).
  • Credit/Debit Cards (Visa, Mastercard).
  • Cash (XAF): As detailed in Section 6.
  • Promo Codes: Promotional codes are subject to specific terms and conditions (e.g., geographic validity, expiration) and are void where prohibited by law.
  • Currency: All transactions are processed in Central African CFA Francs (XAF).

8. Cancellations and Refunds

  • Ride Cancellations: You may cancel a ride request at any time prior to the driver's arrival. Cancellations after the driver has begun the trip or after a specified time window may incur a fee.
  • Order Cancellations: Once a Commerce Partner has begun preparing your order, cancellations may not be possible, and the order may not be eligible for a refund.
  • Refunds: Refunds for incorrect, missing, or unsatisfactory items are handled on a case-by-case basis. Boonia Main reserves the right to request photo evidence of delivery issues. Refunds are generally issued to the original payment method (mobile money or card) within a reasonable timeframe.

9. Limitation of Liability

To the maximum extent permitted by the laws of Gabon:

  • Boonia Main provides the platform on an "AS IS" and "AS AVAILABLE" basis.
  • We are not liable for the acts or omissions of Transport Partners or Commerce Partners. If you have an issue with a driver or a product, you agree to resolve it directly with that party, with our assistance via customer support. Boonia is not responsible for the conduct of drivers, the quality of goods sold by merchants, or the safety of the vehicle used by the Transport Partner.
  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the app, including but not limited to personal injury, loss of profits, or data loss.
  • We are not liable for any failure to perform due to events beyond our reasonable control (force majeure), including but not limited to strikes, fuel shortages, internet outages caused by network providers, government actions, or "acts of God" (e.g., floods).

10. Intellectual Property

The Boonia Main name, logo, app design, and software are the exclusive property of Boonia Main. You may not copy, modify, or reverse engineer any part of our application without our express written consent.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will cease immediately.

12. Dispute Resolution and Governing Law

  • Governing Law: These Terms shall be governed and construed in accordance with the laws of the Gabonese Republic, without regard to its conflict of law provisions.
  • Arbitration: To expedite resolution and control the cost of any dispute, controversy, or claim arising out of or relating to these Terms, you and Boonia Main agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating any arbitration or court proceeding.
  • Jurisdiction: If informal negotiation fails, the parties agree to submit to the exclusive jurisdiction of the courts of Libreville, Gabon. However, Boonia Main retains the right to apply for injunctive remedies in any jurisdiction.

13. Data Privacy

Your use of Boonia Main is also governed by our Privacy Policy. We respect your privacy and comply with Gabon's data protection laws regarding the collection and use of your personal information (location, payment data, etc.).

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
